Partzile SmartSchool Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the access to and use of the Partzile SmartSchool Platform ("Platform"), operated by Partzile (Pvt) Ltd ("Partzile", "we", "our", or "us").

By registering for, accessing, installing, or using Partzile SmartSchool, you ("Client", "Subscriber", "User", "School", or "Organization") agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

2. Definitions

For purposes of these Terms:

Platform means the Partzile SmartSchool cloud-based school management, admissions, students, academics, finance, examinations, communication, and related software.

School or Tenant means an educational institution registered on the Platform.

Branch means any campus, site, or additional location operated by the School and registered within the Platform.

Subscription means the paid licence granting access to the Platform.

User Account means any administrator, principal, teacher, bursar, staff member, agent, parent, guardian, student, or other account created under a School's subscription.

Agent means a person authorised by Partzile to onboard Schools and earn commissions in accordance with the Agent Programme.

3. Nature of Service

Partzile SmartSchool is provided as a Software-as-a-Service (SaaS) platform.

The Platform may include:

• Admissions and enrolment
• Student information management
• Class, subject and timetable management
• Attendance
• Examinations, grading and report cards
• Homework and assignments
• Discipline and welfare
• Boarding and transport
• Clinic and health records
• Library and inventory
• Finance, invoicing and receipts
• Parent and guardian portals
• Communication (email, SMS, in-app)
• AI-assisted analytics and reporting
• Mobile and web applications
• Integrations with third-party services
• Future enhancements introduced by Partzile

Partzile may modify, improve, replace, discontinue, or introduce features without prior notice.

4. Subscription and Licensing

4.1 Licence Grant

Partzile grants the School a limited, non-exclusive, non-transferable, revocable licence to use the Platform during an active subscription period. The licence does not transfer ownership of the software.

4.2 Branch-Based Licensing

Subscriptions may be charged:

• Per school
• Per branch or campus
• Per enrolled student
• Per user
• Per feature set

at Partzile's discretion.

4.3 Subscription Tiers

Features available to a School shall depend on the subscription package selected. Partzile reserves the right to alter subscription packages, pricing, storage limits, feature allocations, and usage limits.

5. Subscription Payments

5.1 Fees

Schools agree to pay all applicable subscription fees.

Fees may include:

• Setup fees
• Monthly, quarterly or annual subscription fees
• Additional branch fees
• SMS and communication charges
• API charges

5.2 Payment Failure

Failure to make payment when due may result in:

• Suspension of services
• Restricted functionality
• Read-only access
• Account locking
• Permanent account deactivation

without liability to Partzile.

5.3 Price Changes

Partzile may revise subscription fees at any time upon reasonable notice. Continued use after such changes constitutes acceptance.

6. Licence Expiry and Account Locking

Upon licence expiry:

Stage 1: Grace Period — The School may retain limited read-only access for a period determined by Partzile or the selected plan.

Stage 2: Restricted Access — The School may lose access to data entry, editing, examinations, reporting, and synchronization.

Stage 3: Suspension — Partzile may suspend the account entirely.

Stage 4: Data Removal — If the subscription remains unpaid for an extended period determined by Partzile, Partzile may archive, anonymize, or permanently delete data.

Schools are responsible for maintaining their own backups.

7. School Responsibilities

The School agrees to:

• Maintain accurate student, staff and financial records.
• Protect account credentials.
• Restrict unauthorized access.
• Comply with applicable education, data-protection and child-protection laws.
• Obtain consent from parents, guardians, students and staff where required.
• Maintain internet connectivity where required.
• Verify reports and results before making decisions or issuing them.

The School remains solely responsible for all activities performed using its accounts.

8. AI Features Disclaimer

Partzile SmartSchool may provide AI-generated:

• Report card comments and remarks
• Performance projections
• Recommendations and insights
• Communication drafts

Such outputs are informational only.

Partzile does not guarantee accuracy, completeness, reliability, or educational outcomes.

Schools must independently verify all AI-generated information before acting upon it or communicating it to parents, students or authorities.

9. Academic and Financial Accuracy

The Platform assists with academic and financial record keeping. Partzile does not guarantee that:

• Grades and marks are correct
• Attendance records are complete
• Fee balances are accurate
• Tax calculations are accurate

Accuracy depends on information entered by users. Schools remain solely responsible for grading, examinations, financial reporting, audits, and regulatory submissions.

10. Children's Data and Safeguarding

The Platform is designed for use by schools and processes personal data of minors on behalf of the School. The School is the data controller of student information and is responsible for lawful basis, parental consent where required, and safeguarding.

Partzile acts as a data processor and applies commercially reasonable safeguards. Users must not upload content that is harmful to children or unlawful.

11. User Conduct

Users shall not:

• Use the Platform unlawfully.
• Attempt unauthorized access.
• Reverse engineer the software.
• Copy source code.
• Interfere with system operations.
• Introduce malware.
• Circumvent licensing controls.
• Share login credentials without authorization.
• Resell access to the Platform.

Violations may result in immediate suspension.

12. Data Ownership

The School retains ownership of school data entered into the Platform.

Partzile retains ownership of the software, source code, databases (structure), designs, trademarks, AI models, algorithms, documentation, and platform architecture.

Nothing in these Terms transfers intellectual property rights to the School.

13. Data Processing and Privacy

Partzile may collect and process business, user, student, transaction, device, usage, and audit information for service delivery, security, billing, analytics, product improvement, and legal compliance.

A separate Privacy Policy forms part of these Terms.

14. Data Backups and Recovery

Partzile may perform routine backups. Backups and restoration are not guaranteed. Schools should maintain independent backups of critical information.

15. Service Availability

Partzile aims for high service availability but does not guarantee uninterrupted access. Services may be affected by internet outages, hosting failures, cybersecurity incidents, third-party failures, maintenance, and force majeure events. Partzile shall not be liable for losses arising from downtime.

16. Third-Party Services

The Platform may integrate with payment gateways (including Paynow, EcoCash, ZIPIT and card processors), SMS providers, WhatsApp, email providers, cloud hosting providers and AI providers. Partzile is not responsible for interruptions, errors, or failures caused by third-party providers.

17. Agent Programme

Where a School is onboarded through an authorised Agent, the Agent may earn commissions in accordance with the Agent Programme. Agents are independent contractors and are not employees or partners of Partzile. Partzile is not liable for representations made by an Agent outside these Terms.

18. Limitation of Liability

To the maximum extent permitted by law, Partzile shall not be liable for loss of revenue, loss of enrolments, loss of goodwill, loss of opportunities, data loss, examination or grading errors, tax or regulatory penalties, consequential or indirect damages, whether arising from contract, negligence, tort, or otherwise.

Partzile's total liability shall never exceed the amount paid by the School during the three (3) months immediately preceding the event giving rise to the claim.

19. Indemnity

The School agrees to indemnify and hold harmless Partzile, its directors, employees, contractors, and affiliates against claims arising from School misconduct, data entered by the School, unlawful communications sent through the Platform, regulatory breaches, tax disputes, employment disputes, parent, guardian or student disputes, and intellectual property violations by the School.

20. Confidentiality

Both parties agree to maintain confidentiality regarding business information, trade secrets, financial information, and technical information, except where disclosure is required by law.

21. Intellectual Property

All intellectual property rights in the Platform remain the exclusive property of Partzile. Schools may not copy, modify, decompile, distribute, republish, or create derivative works without written consent.

22. Termination

Partzile may suspend or terminate access immediately where fees remain unpaid, fraud is suspected, security risks exist, illegal activity is detected, or these Terms are breached. Termination does not relieve the School of outstanding payment obligations.

23. Force Majeure

Partzile shall not be liable for failure to perform obligations resulting from events beyond reasonable control including natural disasters, war, civil unrest, government action, telecommunications failures, cyberattacks, and power outages.

24. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe. Any dispute shall first be referred to mediation. Where mediation fails, disputes shall be submitted to the courts of Zimbabwe, which shall have exclusive jurisdiction.

25. Amendments

Partzile may amend these Terms from time to time. Updated Terms shall become effective upon publication on the Platform or website. Continued use of the Platform constitutes acceptance of the revised Terms.
